6. Payment Terms and Ordering

When you place an order through our Site or through authorized ordering platforms, you agree to the following payment terms:

All prices listed on the Site are in United States Dollars (USD) and are subject to applicable state and local sales taxes. Prices do not include delivery fees, service fees, or gratuity unless explicitly stated. Additional fees may apply depending on your location, the order size, or other factors. This confirmation constitutes acknowledgment of receipt of your order but does not constitute final acceptance. Via 313 reserves the right to cancel, modify, or refuse any order at any time for any reason, including but not limited to product unavailability, suspected fraud, or errors in pricing or product descriptions.

6.4 Refunds and Cancellations

All sales are generally final. Refunds or credits may be issued at Via 313's sole discretion in cases of order errors, missing items, or food quality concerns. Chargebacks initiated without first contacting Via 313 may result in account suspension and will be contested vigorously by the Company.

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE;

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW IN THE UNITED STATES, IN NO EVENT SHALL VIA 313, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES;
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
• DAMAGES RESULTING FROM ANY FOOD PRODUCTS OBTAINED THROUGH THE SERVICES;
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VIA 313 HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ANY CASE, VIA 313'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO VIA 313 FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such cases, Via 313's liability will be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Via 313 and its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or Services, including but not limited to any orders placed through the Site;
• Your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights;
• Your violation of any applicable federal, state, or local law, regulation, or ordinance;
• Any content or information you submit, post, or transmit through the Site;
• Your negligence or willful misconduct.

Via 313 reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Via 313's defense of such claim. You agree not to settle any matter subject to indemnification without the prior written consent of Via 313.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Via 313 operates, without regard to its conflict of law provisions.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Via 313 agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in the United States in the jurisdiction where Via 313's principal place of business is located. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms are also subject to applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.), which prohibits unfair or deceptive acts or practices in or affecting commerce. Nothing in these Terms shall be construed to limit any rights you may have under applicable federal, state, or local consumer protection laws.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute informally by contacting Via 313 at [email protected]. Via 313 will attempt to resolve any disputes within thirty (30) days of receipt. If the dispute cannot be resolved informally within thirty (30) days, either party may proceed to formal dispute resolution as described below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Via 313 agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Disputes"), will be settled by binding individual arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

The arbitration shall be conducted under the rules of the American Arbitration Association ("AAA") or another mutually agreed arbitration body, and shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this specific provision is found to be unenforceable, then the entirety of this arbitration section shall be null and void.

13.4 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VIA 313 HEREBY KNOWINGLY AND VOLUNTARILY WAIVE YOUR RESPECTIVE RIGHTS TO A TRIAL BY JURY WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use or access the Site or Services. Via 313 may, in its sole discretion and at any time, terminate or suspend your access to all or part of the Services, with or without notice and with or without cause, including without limitation for any violation of these Terms.

Upon termination of your access:

• Your right to use the Services will immediately cease;
• Via 313 may delete your account and all associated data in accordance with its Privacy Policy;
• Any pending orders may be canceled at Via 313's sole discretion.

All provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

19. Entire Agreement

These Terms of Service, together with the Privacy Policy and any other legal notices or additional terms published by Via 313 on the Site, constitute the entire agreement between you and Via 313 with respect to your use of the Site and Services. The parties agree that the invalidity or unenforceability of any particular provision of these Terms shall not impair or affect the validity, legality, or enforceability of the remaining provisions, and these Terms shall continue in full force and effect as if such invalid or unenforceable provision were not a part hereof.

21. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Via 313. Via 313 may freely assign or transfer these Terms, in whole or in part, without restriction or consent from you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any purported assignment in violation of this section shall be null and void. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.

22. No Waiver

The failure of Via 313 to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver by Via 313 of any right or provision in these Terms shall not be effective unless it is in writing and signed by an authorized representative of Via 313. No waiver of any right, obligation, or remedy shall be implied from conduct, course of dealing, or failure to require compliance with these Terms.

23. Electronic Communications and Notices

By using our Services, you consent to receive communications from Via 313 electronically. Via 313 will communicate with you by email, through postings on the Site, or through other electronic means.
